These Terms of Service (the “Terms”) constitute a binding legal agreement between you (“you” or “Licensee”) and Bit Haus (“Bit Haus”, “we”, “us” or “our”) governing your download, installation and use of the hal software application and the hal.bit.haus website (together, the “Software” and the “Site”).
BY DOWNLOADING, INSTALLING OR USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT DOWNLOAD, INSTALL OR USE THE SOFTWARE.
“Software” means the hal macOS application, the bundled agent process, the hal terminal client, and all accompanying documentation and updates provided by Bit Haus. “Agent” means any autonomous or semi-autonomous process within the Software that reasons over a model and executes commands, edits files or invokes tools on your device. “Model Provider” means any third party that operates a large language model or related inference service that you configure the Software to use. “Your Content” means the source code, specifications, prompts, configuration and any other material you make available to the Software.
Use of the Software requires a Bit Haus account and an active paid subscription. Subject to your continuing compliance with these Terms and to your subscription remaining in good standing, Bit Haus grants you a personal, limited, revocable, non-exclusive, non-transferable and non-sublicensable licence to install and use the Software on devices you own or control, for your own software development purposes. The Software is licensed, not sold. All rights not expressly granted are reserved by Bit Haus.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Accounts are for a single individual and may not be shared. Subscriptions are billed in advance on a recurring monthly basis through our payment processor and renew automatically until cancelled. You may cancel at any time, effective at the end of the current billing period; except where required by applicable law, fees already paid are non-refundable and partial periods are not pro-rated. Bit Haus may change subscription prices with at least thirty (30) days' notice before the change takes effect for your account. If payment fails or a subscription lapses, the licence granted in this section suspends until the subscription is restored.
You shall not, and shall not permit any third party to: (a) copy, modify, translate or create derivative works of the Software except as permitted by applicable law; (b) reverse engineer, decompile or disassemble the Software, or attempt to derive its source code, except to the extent such restriction is prohibited by applicable law; (c) rent, lease, lend, sell, sublicense, distribute or otherwise make the Software available to any third party, including as a hosted or managed service; (d) remove, obscure or alter any proprietary notice; (e) use the Software to develop a competing product; or (f) use the Software in violation of any applicable law, regulation or third-party right, or in violation of the terms of any Model Provider.
You acknowledge that the Software is designed to execute shell commands, create and modify files, invoke tools and drive other applications on your device at the direction of an Agent, and that its output is probabilistic and may be incorrect, incomplete, insecure or destructive. You are solely responsible for: (a) the configuration you choose, including any mode that reduces or removes confirmation prompts; (b) the containment boundary you select, including whether commands run locally or in a container; (c) maintaining backups and version control of Your Content; and (d) reviewing all output, plans, diffs and commands before relying on them or merging them into any branch. Review, approval and merge decisions remain yours at all times.
Statements on the Site describing confirmation gates, reviewer agents, isolation modes or containment are descriptions of product behaviour and do not constitute a warranty, guarantee or representation of security, safety or fitness for any purpose.
A subscription to the Software does not include model capacity. The Software requires credentials for one or more Model Providers, which you supply. Your use of any Model Provider is governed by that provider's own terms and policies, and you are responsible for compliance with them, including any restriction on the use of subscription credentials by third-party applications. Bit Haus is not a party to your agreement with any Model Provider, does not resell model capacity, and is not responsible for any Model Provider's availability, output, pricing, billing or data practices. Any usage or cost figures displayed by the Software are estimates for your convenience and are not a statement of account.
You retain all right, title and interest in and to Your Content. Bit Haus claims no ownership of Your Content and does not receive it: the Software operates on your device and transmits Your Content only to the Model Providers and services you configure. You represent that you hold the rights necessary to make Your Content available to the Software and to any Model Provider you configure.
The Software checks the Site for updates and offers them to you; installing an update is your choice, and an update replaces the prior installation. Bit Haus may modify, suspend or discontinue the Software, any feature of it, or the Site at any time, with or without notice. Bit Haus has no obligation to provide support, maintenance, updates or backward compatibility. Pre-release, beta or experimental features are provided for evaluation and may be withdrawn.
The Software, the Site, and all associated trademarks, names and logos, including “hal” and “Bit Haus”, are and remain the exclusive property of Bit Haus and its licensors. Third-party and open-source components distributed with the Software are governed by their respective licences, which are reproduced in the Software's acknowledgements. If you submit suggestions, bug reports or other feedback, you grant Bit Haus a perpetual, irrevocable, worldwide, royalty-free licence to use it for any purpose without obligation or attribution to you.
These Terms take effect when you first download or use the Software and continue until terminated. The licence granted terminates automatically and immediately upon your breach of any provision of these Terms, upon lapse or cancellation of your subscription, and may be terminated by you at any time by cancelling your subscription, ceasing all use and deleting all copies of the Software. Bit Haus may suspend or terminate an account for non-payment or for breach of these Terms. Sections 4 through 6 and 8 through 14 survive termination.
THE SOFTWARE AND THE SITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BIT HAUS DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. BIT HAUS DOES NOT WARRANT THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY OUTPUT, PLAN, REVIEW, DIFF OR COMMAND PRODUCED BY AN AGENT WILL BE CORRECT, COMPLETE OR SAFE TO EXECUTE.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL BIT HAUS OR ITS OFFICERS, CONTRACTORS OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, SOURCE CODE, GOODWILL, OR FOR ANY COST OF PROCURING SUBSTITUTE GOODS OR SERVICES, ARISING OUT OF OR RELATED TO THE SOFTWARE, THE SITE OR THESE TERMS, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE TOTAL AGGREGATE LIABILITY OF BIT HAUS FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SOFTWARE, THE SITE OR THESE TERMS SHALL NOT EXCEED THE SUBSCRIPTION FEES YOU PAID TO BIT HAUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
You agree to indemnify, defend and hold harmless Bit Haus and its officers, contractors and licensors from and against any claim, demand, loss, liability, damage, cost or expense, including reasonable legal fees, arising out of or related to: (a) your use of the Software, including any command executed or change produced by an Agent on your device; (b) Your Content; (c) your breach of these Terms or of any Model Provider's terms; or (d) your violation of any applicable law or third-party right.
You represent that you are not located in, under the control of, or a national or resident of any country or territory subject to comprehensive trade sanctions, and that you are not listed on any restricted or denied-party list. You shall comply with all applicable export control and sanctions laws in your use of the Software.
These Terms and any dispute arising out of or related to them or the Software are governed by the laws of the State of Delaware, United States, excluding its conflict-of-laws rules and the United Nations Convention on Contracts for the International Sale of Goods. The state and federal courts located in Delaware shall have exclusive jurisdiction, and each party consents to personal jurisdiction and venue there. Nothing in this section deprives a consumer of the protection of mandatory law in their country of residence.
Bit Haus may revise these Terms from time to time. The revised Terms take effect on the effective date stated at the head of this page, and your continued use of the Software after that date constitutes acceptance. Material changes will be noted on this page.
These Terms, together with the Privacy Policy, constitute the entire agreement between you and Bit Haus regarding the Software and supersede all prior understandings. If any provision is held unenforceable, it shall be limited or severed to the minimum extent necessary and the remainder shall remain in full force. No waiver of any provision shall be effective unless in writing. You may not assign these Terms without Bit Haus's prior written consent; Bit Haus may assign them in connection with a merger, acquisition or sale of assets.
